　　三、報(bào)酬及其他福利

　　試用期過后，甲方為乙方提供住房補(bǔ)助￥5000.00元/月（伍千元人民幣每月），甲方憑乙方出具的租房發(fā)票報(bào)銷，報(bào)銷時(shí)間在每月的8號(hào)。如遇節(jié)假日或休息日，應(yīng)提前到最近的工作日支付，如因特殊原因延期支付報(bào)酬的，甲方應(yīng)在五個(gè)工作日內(nèi)向乙方說明原因。

　　After the probation, Party A shall provide Party B with a monthly housing allowance of RMB5,000.00. Party A shall provide the invoice of rent payment for reimbursement. The monthly date for reimbursement is on the 8th day of each month. If the 8th day of the month falls in the weekend or holiday, the payment shall be brought forward to the nearest weekday. Party A shall inform Party B and explain the detailed reason within 5 work days in case Party A fails to pay the salary due to special reasons.

　　3.2 甲方應(yīng)于每月8號(hào)以貨幣或轉(zhuǎn)帳形式足額支付乙方上述報(bào)酬。如遇節(jié)假日或休息日，應(yīng)提前到最近的工作日支付，如因特殊原因延期支付報(bào)酬的，甲方應(yīng)在五個(gè)工作日內(nèi)向乙方說明原因。

　　Party A shall pay salary to Party B before the 8 day of every month in the form of cash or bank-transfer. If the 8th day of the month falls in the weekend or holiday, the payment shall be brought forward to the nearest weekday. Party A shall inform Party B and explain the detailed reason within 5 work days in case Party A fails to pay the salary due to special reasons.

　　3.3 甲方可根據(jù)生產(chǎn)經(jīng)營的狀況或乙方任務(wù)量和工作表現(xiàn)，適時(shí)調(diào)整乙方的報(bào)酬。

　　Party A can adjust Party B’s salary according to its operating conditions, Party B’s workload and performance.

　　3.4 當(dāng)乙方的工作任務(wù)發(fā)生變化時(shí)，甲方可按規(guī)定調(diào)整其相應(yīng)的報(bào)酬。乙方接受新的工作任務(wù)后，即視作接受甲方按照該工作任務(wù)重新確定的報(bào)酬。

　　3.5 乙方應(yīng)遵守國家及地方的稅法制度，自行繳納其個(gè)人收入的個(gè)人所得稅，甲方無義務(wù)為其代繳。

　　3.6 乙方在合同期內(nèi)享受中國法律規(guī)定的節(jié)日，公休假日，另外公司每年為其提供5天的帶薪休假。

　　Party B is entitled with all legal holidays in accordance with the state’s regulations, In addition, Party B enjoys a paid leave of 5 days each year.

　　四、雇傭合同的解除和終止

　�、� Contract Cancellation and Termination

　　4.1 合同期滿雙方不再續(xù)簽或者雙方約定的.合同終止條件出現(xiàn)時(shí)，雇傭合同即終止。

　　This contract shall be terminated once it expires and both parties do not extend the contract.

　　4.2 經(jīng)合同雙方當(dāng)事人協(xié)商一致，本合同可以解除。

　　The contract may be canceled based on both parties’ mutual negotiation.

　　4.3 乙方應(yīng)遵守中國的法律、法規(guī)及有關(guān)規(guī)定，乙方如違反上述規(guī)定，甲方有權(quán)即時(shí)解除合同；乙方因健康原因，經(jīng)醫(yī)生證明連續(xù)病休15工作日后仍不能繼續(xù)工作，甲方有權(quán)提前終止合同。

　　4.4 乙方因歸國或其他私人原因未正常出勤且超過十天且未向甲方做出書面說明的，本合同自動(dòng)終止。 The contract will automatically terminate in case Party B is absent for over 10 days without written explanation due to homecoming or other private reasons.

　　4.5 乙方被證明無法完成本合同項(xiàng)下的工作任務(wù)，甲方有權(quán)隨時(shí)解除本合同。

　　In case Party B is proved to be not competent for the work under the contract, Party A is entitled to cancel the contract at any time.

　　4.6 乙方應(yīng)嚴(yán)格遵守甲方的工作規(guī)定以及規(guī)章制度，盡職盡責(zé)，否則，甲方有權(quán)隨時(shí)解除合同并追究因此而造成的經(jīng)濟(jì)損失，并有權(quán)對所造成的經(jīng)濟(jì)損失在乙方的報(bào)酬中作相應(yīng)扣除。

　　Party B should abide by Party A’s working systems, rules and regulations. Otherwise, Party A is entitled to cancel the contract and claim a corresponding compensation of any economic loss from Party B’s payment.

　　4.7 乙方有權(quán)提前30 日以書面形式通知甲方解除本合同，在試用期內(nèi)提前3日通知甲方即可解除。

　　五、其他事項(xiàng)

　　5.1 其他未盡事宜，雙方可參照甲方公司內(nèi)部的相關(guān)規(guī)章制度執(zhí)行。

　　5.2 甲乙雙方均應(yīng)遵守本合同之約定，任何一方違約，非違約方均有權(quán)要求違約方承擔(dān)相應(yīng)的損失。

　　根據(jù)《中華人民共和國合同法》及有關(guān)規(guī)定,為明確雙方的權(quán)利和義務(wù)關(guān)系,甲乙雙方在平等自愿的原則下經(jīng)過充分協(xié)商,訂立本租賃合同。

　　第一條租賃內(nèi)容

　　1. RENT CONTENT

　　1.1 租賃地址：甲方將其位于_________________________________的商鋪?zhàn)赓U給乙方作商業(yè)經(jīng)營用途。甲方對所出租的商鋪具有合法產(chǎn)權(quán)、并出示房產(chǎn)證(或具有出租權(quán)的有效證明)、身份證明等文件;乙方也應(yīng)提供身份證明文件。雙方可復(fù)印對方文件備存。所有復(fù)印件僅供本次租賃使用，不得挪作它用。

　　1.1 LOCATION: Part B rent the shop located on__________________ from Part A for commercial business purposes. The shop is the legal property owned by Part A, and showed the property ownership certificate (or other certificate can prove the Part A have the rights to rent the shop legally),identifications and other documents which needed for law; Party B should also provide identification. The two parties can copy each other documents for

　　keeping. All copies can use for the rent affairs only, and can not be used for any other purpose.

　　1.2 租賃面積：甲方租賃給乙方的商鋪建筑面積為_____平方米,使用面積為_____平方米。甲方將該商鋪交付乙方使用時(shí),商鋪結(jié)構(gòu)及配套設(shè)施為:簡裝修。承租期內(nèi)乙方在不改變和影響房屋整體結(jié)構(gòu)的前提下，可進(jìn)行裝修裝飾、對室內(nèi)空間進(jìn)行重新劃分;若期滿不續(xù)租，其裝修材料由乙方自行處理，若拆除，其費(fèi)用由乙方自理。

　　第二條租賃期限

　　2. TERM OF CONTRACT

　　2.1 租賃期限：甲乙雙方商定,租賃期限自xx年xx月xx日起至24：00止,共力影響導(dǎo)致的合同終止情形外，任何一方不得破壞租賃期限的完整和連續(xù)。 2.1 CONTRACT PERIOD: After both parties agreed, the term of contract is: stcontract terminated and the force majeure due to the influence of the contract to be terminated, either parties can not destroy the integrity and continuity of the contract.

　　2.3 續(xù)租：合同期滿后,甲方如繼續(xù)出租該商鋪,則同等條件下,乙方可享有優(yōu)先承租權(quán)。乙方如有意續(xù)租,可于合同期滿前30天向甲方提出,雙方另行協(xié)商,訂立新的租賃合同。

　　2.3 CONTRACT EXTENSION: After the contract be expired, if the shop still be able to be rent, Part B have the priority right to rent. If Part B have the mind contract be expired, after negotiated, create the new rent contract.

　　2.4 合同的中止

　　2.4 CONTRACT TERNIMATION

　　2.4.1乙方有如下情形之一時(shí),甲方有權(quán)提前中止合同,收回商鋪：

　　a, 乙方利用該商鋪從事非法活動(dòng)或損害公共利益的`;

　　b, 乙方拖欠租金超過

　　2.4.1 Under the follow status of Part B, Part A have the rights to terminate

　　the contract, take back the shop: a, Part B use the shop to do the illegal or public-interests damaging

　　activities;

　　2.4.2甲方有如下情形之一時(shí),乙方有權(quán)提前中止合同：

　　a,甲方不能提供商鋪或提供商鋪不符合條件，嚴(yán)重影響乙方正常使用; b,甲方未盡房屋修繕義務(wù)，嚴(yán)重影響乙方正常使用的。

　　第三條租金及其支付方式和其它費(fèi)用

　　3. RENTAL, MODE OF PAYMENT AND OTHER CHARGES

　　3.1 年租金總額：甲乙雙方商定,租賃期內(nèi)該商鋪的年租金為￥________(大寫：人民幣_(tái)____________________圓整)，合同期限內(nèi)無浮動(dòng)。

　　3.4 WATER,ELECTRIC AND OTHER PUBLIC UTILITY CHARGES: During contract period, Part A pay all the tax and charges, etc government revenue from the shop, and Part B pay the clean, electric, water and all the charges because the business, Part B have the obligations to pay the charges enough and on time, if Part A be disgorged from other parties cause Part B arrears, Part A have the rights to disgorge from Part B.

　　第四條招牌設(shè)置

　　4. SHOP SIGN SETTING

　　甲方同意乙方在符合國家法律、法規(guī)、政府規(guī)章和規(guī)范性文件的前提下，在租賃商鋪的室內(nèi)外安裝設(shè)置帶有其公司標(biāo)志的招牌等廣告裝置(例如帶照明的透明廣告燈箱、立牌和戶外廣告招牌等)，并協(xié)助乙方做好跟物業(yè)裝修申請、施工以及廣告設(shè)置的交涉工作。

　　5. OBLIGATIONS AND RIGHTS

　　5.1 甲方的責(zé)任和權(quán)利

　　5.1 OBLIGATIONS AND RIGHTS OF PART A

　　a,甲方應(yīng)保證所出租的商鋪及配套設(shè)施在交付乙方使用時(shí)完好并能夠正常使用;

　　a, Part A have the obligation to issue the shop and supporting equipments condition is good and can be use normally;

　　b,按公共契約負(fù)責(zé)商鋪結(jié)構(gòu)維修和保養(yǎng),凡遇政府部門要求需對商鋪或配套設(shè)施進(jìn)行改造時(shí),相關(guān)費(fèi)用由甲方負(fù)責(zé);

　　b, Part A have the obligation to repair and maintenance the shop structures, in every case of government requests reconstruct shop or supporting equipments, Part A pay all the charges;

　　c,負(fù)責(zé)協(xié)調(diào)本地區(qū)各有關(guān)部門的關(guān)系,并為乙方辦理營業(yè)執(zhí)照提供有效的房產(chǎn)證明及相關(guān)手續(xù);

　　c, Part A have the obligation to coordinate the relationships with all the departments in the shop located district, and offer the valid property ownership certificate and other document be relate to Part B apply the business license;

　　d, 不得以任何理由占用乙方所租門面及其附屬設(shè)施，如門面前面的空地等。

　　d, Part A can not occupy the shop and equipments which the Part B with any reason, such as the empty land outside of the shop.

　　5.2 乙方的責(zé)任和權(quán)利

　　a,合同有效期內(nèi),乙方對所租賃的商鋪及配套設(shè)施擁有合法使用權(quán);

　　a, Part B have the legal right to use the rented shop and supporting equipments during the rent period;

　　b,乙方應(yīng)遵守國家法律,法規(guī),依法經(jīng)營;

　　b, Part B have the obligations to do business as the state law,regulations;

　　c,乙方不得在租賃的商鋪內(nèi)貯存危險(xiǎn)、違禁物品;

　　c, Part B can not store the dangers, prohibited goods in the shop;

　　d,乙方必須依約繳納租金及其他因經(jīng)營產(chǎn)生的費(fèi)用,不得無故拖欠;

　　d, Part B have the obligations to pay rental and other charges cause business on time, can not arrears without reason;

　　e,乙方在承租的商鋪內(nèi)需要安裝或者使用超過水、電表容量的任何水電設(shè)備,應(yīng)事前征得甲方同意,并由乙方負(fù)責(zé)到有關(guān)部門辦理增容手續(xù),費(fèi)用由

　　乙方負(fù)擔(dān);

　　e, Part B have the obligation to get the authorization from Part A when install the equipments’ value over the limited of the water and electricmeters’ value, Part B also have obligation to make the application to the related department and pay all the charges;

　　e,租賃期滿或者解除合同時(shí),所屬乙方的財(cái)物，均由乙方自行處理，甲方不得以任何理由進(jìn)行任何形式的干涉;

　　e, When the contract be expired or terminated, all the properties owned by Part B, Part B have the rights to handle the properties, Part A can not interfere with any reason in any modality;

　　f,租賃期滿或者解除合同時(shí),由甲乙雙方共同檢查商鋪和配套設(shè)施,檢查無異議后,商鋪交還甲方。如發(fā)現(xiàn)有損壞的,則由乙方照價(jià)負(fù)責(zé)賠償。

　　第六條出租方和承租方的變更

　　6. PARTIES CHANGE

　　6.1 產(chǎn)權(quán)人與承租人：合同期內(nèi),甲方和乙方中任何一方法定代表人(或產(chǎn)權(quán)人)變更、企業(yè)遷址、合并,不影響本合同繼續(xù)履行。變更、合并后的一方即成為本合同當(dāng)然執(zhí)行人,并承擔(dān)本合同的內(nèi)容之權(quán)利和義務(wù);

　　6.1 OWNER AND RENTER: During contract period, either of both parties’ legal representative(or property owner) be changed, company moved or

　　merged, will not influence the contract continue perform. Anyone fter change, merge be the successor will be the performer, and assume all the rights and obligations in the contract;

　　6.2 轉(zhuǎn)租:合同期內(nèi),乙方如欲將租賃的商鋪轉(zhuǎn)租給第三方時(shí),必須事先征得甲方同意,并由三方書面確認(rèn),取得使用權(quán)的第三方成為本合同的當(dāng)然乙方,繼續(xù)履行本合同;

　　6.2 SUBLEASE: During contract period, if Part B want sublet the shop to other parties, should consent by Part A and get the written confirm, the party who get the using rights, will be the Part B, continue perform this contract;

　　6.3 甲方欲出售房屋，必須在三個(gè)月前書面通知乙方，并且要保證租賃期限的完整。

　　6.3 When the Part A want sell the shop, must written inform Part B at least 3 months before, and must issue the rent period in the contract.

　　第七條違約及處理

　　7. DEFAULT AND DISPOSE

　　7.1 任何一方未能履行本合同規(guī)定的條款的,均視為違約;

　　7.1 Either parties can not perform the rules and conditions in the contract, all deemed to be default;

　　7.2若乙方違約，甲方有權(quán)提前解除合同，并無需退還已繳納的房屋租金;

　　7.2.If Part B defaulted, Part A have the rights to terminate the contract and do not need pay back the paid rental;

　　7.3若甲方違約，乙方有權(quán)提前解除合同，且甲方必須雙倍退還乙方已繳納但未完成使用期限的全部租金，并賠償乙方裝修費(fèi)。裝修費(fèi)賠償標(biāo)準(zhǔn)：若第一年內(nèi)違約，賠償全部裝修款(100%)，以實(shí)際裝修情況計(jì)算;若第二年違約。賠償裝修款的70%，以實(shí)際裝修情況計(jì)算;若第三年違約，賠償裝修款的50%，以實(shí)際裝修情況計(jì)算;

　　一、托運(yùn)方的權(quán)利義務(wù) The rights and obligation of the shipper

　　1.托運(yùn)方的權(quán)利：要求承運(yùn)方按照合同規(guī)定的時(shí)間、地點(diǎn)、把貨物運(yùn)輸?shù)侥康牡亍Ｘ浳锿羞\(yùn)后，托運(yùn)方需要變更到貨地點(diǎn)或收貨人，或者取消托運(yùn)時(shí)，有權(quán)向承運(yùn)方提出變更合同的內(nèi)容或解除合同的要求。但必須在貨物未運(yùn)到目的地之前通知承運(yùn)方，并應(yīng)按有關(guān)規(guī)定付給承運(yùn)方所需費(fèi)用。

　　The shipper’s rights: Requesting the carrier to transport the goods to the destination on time stipulated in this contract. After transferring the goods to the carrier, if the shipper needs to change the destination or the consignee, the shipper shall have the right to change the contents of the contract or cancel the contract. However, the shipper shall inform the carrier before the arrival at destination, and pay the relevant charges to the carrier.

　　2.托運(yùn)方的義務(wù)：按約定向承運(yùn)方交付運(yùn)雜費(fèi)。否則，承運(yùn)方有權(quán)停止運(yùn)輸，并要求對方支付違約金。托運(yùn)方對托運(yùn)的貨物，應(yīng)按照規(guī)定的標(biāo)準(zhǔn)進(jìn)行包裝，遵守有關(guān)危險(xiǎn)品運(yùn)輸?shù)囊?guī)定，按照合同中規(guī)定的'時(shí)間和數(shù)量交付托運(yùn)貨物。

　　The shipper’s obligation: Paying the freight and other charges as the contract to the carrier. Otherwise, the carrier shall have the right to stop transporting, and claim to the shipper of the punishment. The shipper shall pack the goods according to standards, and abide by the transportation regulations of dangerous goods, and transfer the goods to the carrier as stipulated quantity and time in the contract.

　　二、承運(yùn)方的權(quán)利義務(wù)The rights and obligation of the carrier

　　1.承運(yùn)方的權(quán)利：向托運(yùn)方、收貨方收取運(yùn)雜費(fèi)用。如果收貨方不交或不按時(shí)交納規(guī)定的各種運(yùn)雜費(fèi)用，承運(yùn)方對其貨物有扣壓權(quán)。查不到收貨人或收貨人拒絕提取貨物，承運(yùn)方應(yīng)及時(shí)與托運(yùn)方聯(lián)系，在規(guī)定期限內(nèi)負(fù)責(zé)保管并有權(quán)收取保管費(fèi)用，對于超過規(guī)定期限仍無法交付的貨物，承運(yùn)方有權(quán)按有關(guān)規(guī)定予以處理。

　　The carrier’s right: Charging the freight and other costs to the shipper and the consignee. If the consignee refuses to pay or fails to pay on time of the stipulated freight and costs, the carrier shall have the right to retain the goods. If the arrival notice cannot reach the consignee or the consignee refuses to receive the goods, the carrier shall have the right to custody the goods within the stipulated period and charge for it. In case the goods can not be delivered after the stipulated period, the carrier shall have the right to dispose the goods according to relative regulations.

　　2.承運(yùn)方的義務(wù)：在合同規(guī)定的期限內(nèi)，將貨物運(yùn)到指定的地點(diǎn)，按時(shí)向收貨人發(fā)出貨物到達(dá)的通知。對托運(yùn)的貨物要負(fù)責(zé)安全，保證貨物無短缺，無損壞，無人為的變質(zhì)，如有上述問題，應(yīng)承擔(dān)賠償義務(wù)。在貨物到達(dá)以后，按規(guī)定的期限，負(fù)責(zé)保管。

　　The carrier’s obligation: Delivering the goods to the destination on time, and informing the consignee of the arrival in time. The carrier shall be responsible for the safety of the goods, protect the goods from shortage, damage, and contrived deterioration. Otherwise, the carrier shall be obliged to compensate the shipper or consignee. The carrier shall custody the goods for stipulated period after the arrival of the goods.

　　三、收貨人的權(quán)利義務(wù)The rights and obligation of the consignee

　　1.收貨人的權(quán)利：在貨物運(yùn)到指定地點(diǎn)后有以憑證領(lǐng)取貨物的權(quán)利。

　　The consignee’s right: Taking the goods at the destination by presenting bill of cargo.

　　2.收貨人的義務(wù)：在接到提貨通知后，按時(shí)提取貨物，繳清應(yīng)付費(fèi)用。超過規(guī)定時(shí)間提貨時(shí)，應(yīng)向承運(yùn)人交付保管費(fèi)。

　　The consignee’s obligation: Taking the goods on time upon receipt of the notice of arrival, and paying the charges. The consignee shall pay the custodial fees when the time is overdue.

　　第十條違約責(zé)任

　　Article 10. Obligation for Breach

　　一、托運(yùn)方責(zé)任： The shipper

　　1.未按合同規(guī)定的時(shí)間提供托運(yùn)的貨物，托運(yùn)方應(yīng)償付給承運(yùn)方違約金___ 元。

　　If the shipper does not delivery the goods to the carrier as per the stipulated time, the shipper shall pay to the carrier RMB___ as a penalty.

　　2.由于在普通貨物中夾帶、匿報(bào)危險(xiǎn)貨物，錯(cuò)報(bào)笨重貨物重量等招致吊具斷裂、貨物摔損、吊機(jī)傾翻、爆炸、腐燭等事故，托運(yùn)方應(yīng)承擔(dān)賠償責(zé)任。

　　In the case of the shipper putting dangerous goods together with the normal cargo, or concealing heavy items, thus result in breakage of hoisting tools, dropping of goods, turn-over of crane, explosion, corrosion, etc. the shipper shall take the obligation of compensation.

　　3.由于貨物包裝缺陷產(chǎn)生破損，致使其他貨物或運(yùn)輸工具、機(jī)械設(shè)備被污染腐蝕、損壞，造成人身傷亡的，托運(yùn)方應(yīng)承擔(dān)賠償責(zé)任。

　　If other’s cargo or transport facilities are polluted or corroded, or persons are injured or dead due to the defect of package, the shipper shall take the obligation of compensation.

　　二、承運(yùn)方責(zé)任：The carrier

　　1.不按合同規(guī)定的時(shí)間和要求配車、發(fā)運(yùn)的，承運(yùn)方應(yīng)償付甲方違約金____元。

　　If the carrier does not load or ship the goods as per the stipulated time, the carrier shall pay to the shipper RMB___ as a penalty.

　　2、承運(yùn)方如將貨物錯(cuò)運(yùn)到貨地點(diǎn)或接貨人，應(yīng)無償運(yùn)至合同規(guī)定的到貨地點(diǎn)或接貨人。如果貨物逾期達(dá)到、承運(yùn)方應(yīng)償付逾期交貨的違約金____。

　　If the carrier delivers the goods to wrong destination or wrong consignee, the carrier shall make correction. If the goods do not arrive at the destination on time, the carrier shall pay to the shipper RMB__ as a penalty.

　　3.運(yùn)輸過程中貨物滅失、短少、變質(zhì)、污染、損壞，承運(yùn)方應(yīng)按貨物的實(shí)際損失(包括包裝費(fèi)、運(yùn)雜費(fèi))賠償托運(yùn)方。

　　8．宣傳廣告費(fèi)用

　　在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

　　9．協(xié)議有效期

　　all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached， the case in dispute shall then be submitted to the foreign trade arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decision made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party ，unless otherwise awarded.

　　11．其他條款

　　（1）甲方不得向經(jīng)銷地區(qū)其他買主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢價(jià)，當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給予乙方_________％的傭金。
